Terms of Service

These Terms of Service ("Terms") govern the purchase of products and use of services provided by FoxIoT OÜ ("FoxIoT", "we", "us"), a company registered in Estonia (registry code 14954341), Pärnu mnt 148, 11317 Tallinn, Estonia.

By placing an order or using our services, you agree to these Terms.

1. Products and Orders

FoxIoT sells industrial IoT hardware products, including the Wolf Gateway product line and RTU Controllers. Orders may be placed via our website contact form or by direct email to hello@foxiot.eu.

A binding contract is formed when we confirm your order in writing (by email). We reserve the right to decline orders or limit quantities.

2. Pricing

All prices are quoted in euros (€) and are exclusive of VAT unless otherwise stated. VAT is applied in accordance with applicable Estonian and EU law. Prices are subject to change without notice prior to order confirmation.

For B2B customers within the EU, reverse charge VAT may apply when you provide a valid EU VAT number.

3. Payment

Payment terms are as agreed at order confirmation. For standard orders, payment is due before shipment unless otherwise agreed. We accept bank transfer (IBAN) and other payment methods as stated on the invoice.

4. Delivery

We ship from Tallinn, Estonia. Lead times and shipping costs are communicated at order confirmation. Risk of loss and title pass to you upon delivery to the carrier. We are not liable for delays caused by the carrier or events outside our reasonable control.

5. Right of Withdrawal (Consumer Contracts)

If you are a consumer (a natural person acting outside of a trade, business, or profession), you have the right to withdraw from the purchase contract within 14 calendar days of receiving the goods, without giving any reason, in accordance with EU Directive 2011/83/EU and Estonian consumer protection law.

To exercise the right of withdrawal, notify us at hello@foxiot.eu before the 14-day period expires. You must return the goods within 14 days of notifying us of your withdrawal, in their original condition. We will refund the purchase price within 14 days of receiving the returned goods.

The withdrawal right does not apply to:

• Goods made to specification or clearly personalised
• B2B purchases where you are acting in a professional capacity

6. Warranty

FoxIoT warrants its hardware products against defects in materials and workmanship for a period of 12 months from the date of delivery to the original purchaser, unless a different warranty period is specified in the product documentation.

This warranty covers defects that arise under normal use. It does not cover:

• Damage caused by misuse, accident, unauthorised modification, or repair
• Damage caused by operating outside of specified environmental or electrical conditions
• Normal wear and tear
• Consumable parts

To make a warranty claim, contact hello@foxiot.eu with a description of the defect and proof of purchase. We will, at our discretion, repair or replace the defective product or provide a refund.

Consumer statutory rights under Estonian and EU law are not affected by this warranty.

7. Limitation of Liability

To the maximum extent permitted by applicable law, FoxIoT is not liable for indirect, incidental, special, or consequential damages, including loss of profits, loss of data, or business interruption arising from the use or inability to use our products.

Our total liability for any claim arising under or related to a product purchase shall not exceed the purchase price paid for that product.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

8. Intellectual Property

All intellectual property rights in our products, firmware, software, and documentation remain the property of FoxIoT OÜ or its licensors. Nothing in these Terms grants you any licence to our intellectual property beyond what is necessary to use the purchased product.

9. Dispute Resolution

These Terms are governed by the laws of Estonia. Any disputes arising from these Terms or the purchase of our products shall be resolved by the courts of Estonia.

10. Changes to These Terms

We may update these Terms from time to time. The current version will always be available at this URL. Changes do not affect orders already confirmed before the change date.
